Welcome to the Xperimental Wholesale Program! By participating as a reseller, you agree to the following terms and conditions designed to establish a fair and transparent partnership for the sale and distribution of Xperimentral's products as defined in Annexure A. 

1. Minimum Order Quantity

• Resellers are required to purchase a minimum of 10 kits per order to qualify for wholesale pricing.

2. Wholesale Pricing

• Wholesale pricing is tiered based on order quantities. Please contact us for the current pricing structure tailored to your specific volume.

3. Payment Terms

• Payment is due in full prior to the shipment of any orders unless other terms have been agreed upon in writing.
• Accepted payment methods include EFT, credit card, or other mutually agreed-upon options.
• Late payments may incur interest at a rate of 2% per month on the outstanding balance.

4. Order Process

• Orders can be placed via email, phone, or in-store.
• A confirmation email will be sent once the order is received, along with an estimated delivery timeline.

5. Return and Exchange Policy

• Damaged or defective products must be reported within 7 days of receipt.
• Approved returns or exchanges will be replaced or refunded at the discretion of Xperimental.
• Returns for non-damaged goods are not accepted unless otherwise agreed upon in writing.

6. Shipping

• Shipping costs are calculated based on order size, weight, and delivery location.
• Free shipping is available for orders exceeding a certain quantity—please inquire for details.
• Xperimental is not responsible for shipping delays caused by third-party carriers but will assist in resolving issues.

7. Non-Circumvention and Non-Compete Clause

• Resellers agree not to reverse engineer or design or contract designers to design similar competing products. 
• During the term of this agreement and for 12 months after termination, resellers agree not to develop, sell, or distribute any kits or products similar to Xperimental within South Africa or globally without prior written consent.

8. Marketing and Brand Representation

• Resellers must represent Xperimental in a professional manner and ensure marketing materials reflect the brand’s quality and values.
• The use of Xperimental's logo, imagery, or branding must be approved in advance.

9. Termination of Agreement

• Xperimental reserves the right to terminate this agreement at any time if terms are violated.
• Resellers must return any unused marketing materials and remove Xperimental products from their inventory upon termination.

By placing a wholesale order with Xperimental, you confirm your agreement to these terms and conditions.
